DOMELABS AI TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the website, software, applications, services, documentation, and other offerings provided by Domelabs AI, Inc. ("Domelabs," "we," "us," or "our") (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you are accessing or using the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and references to "you" and "your" refer to both you and that organization.
If you do not agree to these Terms, do not access or use the Services.
1. Eligibility
The Services are intended solely for business, governmental, educational, and institutional use.
By using the Services, you represent and warrant that:
- You are authorized to act on behalf of your organization;
- You have the legal authority to enter into these Terms;
- Your use of the Services complies with all applicable laws, regulations, and organizational policies.
The Services are not intended for consumer or personal use.
2. Description of Services
Domelabs provides software and related services to business, governmental, and institutional customers.
The Services may include software applications, hosted services, documentation, training, implementation assistance, advisory services, professional services, integrations, support services, and other offerings made available by Domelabs from time to time.
Domelabs may modify, enhance, replace, suspend, or discontinue any portion of the Services at any time.
The Services are intended to assist organizations with operational, governance, compliance, documentation, risk-management, technology, and business processes. The Services are informational and administrative tools only and do not make decisions on behalf of customers.
3. Access Rights and License
Subject to these Terms and any applicable subscription agreement, Domelabs grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Services solely for your organization's internal business purposes.
You shall not:
- Copy, reproduce, distribute, modify, or create derivative works of the Services;
- Reverse engineer, decompile, disassemble, or attempt to discover source code;
- Remove or alter proprietary notices;
- Use the Services to develop competing products or services;
- Conduct unauthorized benchmarking or performance testing for publication;
- Circumvent access controls or security mechanisms;
- Permit unauthorized third parties to access the Services.
All rights not expressly granted are reserved by Domelabs.
4. Accounts and Security
You are responsible for:
- Maintaining the confidentiality of account credentials;
- Managing user access permissions;
- Promptly notifying Domelabs of suspected unauthorized access or security incidents;
- Ensuring that authorized users comply with these Terms.
You remain responsible for all activity conducted through your accounts.
5. Customer Data
You retain all right, title, and interest in any information, content, records, files, materials, configurations, or data submitted to or processed through the Services ("Customer Data").
You represent and warrant that:
- You have all necessary rights and permissions to provide Customer Data;
- Your submission of Customer Data does not violate any law, regulation, contract, or third-party right.
You are solely responsible for:
- The accuracy and legality of Customer Data;
- Compliance with applicable laws and regulations;
- Obtaining any required notices, consents, approvals, or authorizations.
Unless otherwise agreed in writing, you shall not upload or provide:
- Protected Health Information (PHI);
- Classified information;
- Export-controlled information;
- Information subject to ITAR restrictions;
- Any data whose processing would require additional regulatory controls not expressly agreed to by Domelabs.
6. Data Use
Customer Data remains your confidential information.
Domelabs will not:
- Sell Customer Data;
- Use Customer Data for advertising purposes;
- Use identifiable Customer Data to train foundation models, large language models, or third-party artificial intelligence systems.
Domelabs may use aggregated, anonymized, de-identified, and statistical information that does not identify you, your organization, or any individual for operational, analytical, security, product-improvement, and business purposes.
7. Intellectual Property
The Services, including all software, documentation, content, designs, interfaces, methodologies, trademarks, service marks, logos, and related intellectual property, are owned by Domelabs or its licensors and are protected by applicable intellectual property laws.
Except for the limited rights expressly granted under these Terms, no rights are transferred to you.
Any suggestions, enhancement requests, recommendations, feedback, or other input you provide may be used by Domelabs without restriction or obligation.
8. Confidentiality
Each party may receive confidential or proprietary information from the other party ("Confidential Information").
The receiving party agrees to:
- Use Confidential Information solely for purposes related to the Services;
- Protect Confidential Information using reasonable safeguards;
- Limit disclosure to personnel, contractors, and advisors who have a legitimate need to know and who are bound by confidentiality obligations.
Confidential Information does not include information that:
- Is publicly available without breach of these Terms;
- Was lawfully known before disclosure;
- Is independently developed without use of Confidential Information;
- Is lawfully received from a third party without restriction.
9. Security
Domelabs maintains administrative, technical, and organizational safeguards designed to protect Customer Data from unauthorized access, disclosure, alteration, or destruction.
Such safeguards may include:
- Access controls;
- Authentication mechanisms;
- Encryption where appropriate;
- Security monitoring;
- Vulnerability management practices;
- Incident response procedures;
- Personnel security and awareness training.
Domelabs may modify its security practices from time to time to address evolving operational, regulatory, and security requirements.
10. Acceptable Use
You shall not use the Services to:
- Violate any applicable law or regulation;
- Infringe intellectual property rights;
- Distribute malware, malicious code, or harmful content;
- Interfere with the operation or security of the Services;
- Attempt unauthorized access to systems, networks, or accounts;
- Conduct unlawful surveillance or monitoring activities;
- Engage in fraudulent, deceptive, abusive, or unlawful conduct.
Domelabs may suspend or restrict access where reasonably necessary to protect the Services, customers, third parties, or the public.
11. Third-Party Services
The Services may interoperate with or rely upon third-party products, services, platforms, infrastructure providers, or integrations.
Domelabs does not control and is not responsible for:
- The availability of third-party services;
- The security practices of third parties;
- Third-party privacy practices;
- Third-party performance or functionality.
Your use of third-party services remains subject to the applicable third-party terms and policies.
12. Outputs and Recommendations
The Services may generate reports, analyses, assessments, recommendations, documentation, workflows, summaries, insights, or other outputs.
Such outputs are provided for informational purposes only and should not be relied upon as legal, regulatory, accounting, financial, medical, clinical, or other professional advice.
You remain solely responsible for evaluating, validating, approving, and acting upon any outputs generated through the Services.
Domelabs does not guarantee any particular business, operational, compliance, regulatory, audit, legal, or financial outcome resulting from use of the Services.
13. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
DOMELABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF:
- MERCHANTABILITY;
- FITNESS FOR A PARTICULAR PURPOSE;
- NON-INFRINGEMENT;
- ACCURACY;
- RELIABILITY;
- AVAILABILITY.
DOMELABS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOMELABS SHALL NOT BE LIABLE FOR ANY:
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- SPECIAL DAMAGES;
- CONSEQUENTIAL DAMAGES;
- EXEMPLARY DAMAGES;
- LOSS OF PROFITS;
- LOSS OF REVENUE;
- LOSS OF DATA;
- LOSS OF BUSINESS OPPORTUNITY.
DOMELABS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO DOMELABS FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY.
15. Indemnification
You agree to defend, indemnify, and hold harmless Domelabs and its officers, directors, employees, affiliates, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses arising from:
- Your violation of these Terms;
- Your misuse of the Services;
- Customer Data;
- Your violation of applicable laws or regulations;
- Your decisions, actions, or omissions related to use of the Services.
16. Suspension and Termination
Domelabs may suspend or terminate access to the Services if:
- These Terms are violated;
- Security risks are identified;
- Required by law;
- Necessary to protect the Services, customers, or third parties.
Upon termination:
- Your right to access and use the Services immediately ceases;
- You must discontinue all use of the Services;
- Any surviving obligations under these Terms remain in effect.
Data retention and deletion shall be governed by any applicable written agreement between the parties.
17. Export Compliance
You agree to comply with all applicable export control, trade, sanctions, and import laws and regulations.
You shall not use the Services in violation of United States export laws or sanctions regulations.
You represent and warrant that neither you nor your organization is located in, controlled by, or acting on behalf of any sanctioned jurisdiction or prohibited party.
18. Government Customers
The Services constitute commercial computer software and commercial computer software documentation developed exclusively at private expense.
Government users receive only those rights expressly granted under these Terms and applicable law.
19. Force Majeure
Neither party shall be liable for delays or failures resulting from causes beyond its reasonable control, including:
- Natural disasters;
- Acts of government;
- Labor disputes;
- Utility failures;
- Internet disruptions;
- Cybersecurity incidents;
- War;
- Terrorism;
- Civil unrest.
The affected party shall use reasonable efforts to mitigate the effects of such events.
20. Modifications to These Terms
Domelabs may revise these Terms from time to time.
Updated Terms will be posted on the applicable website with a revised effective date.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms.
21. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to conflict-of-law principles.
Any legal action arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Minnesota, and each party consents to the jurisdiction of those courts.
22. Entire Agreement
These Terms constitute the entire agreement between the parties regarding the Services unless superseded by a separate written agreement executed by both parties.
If a Master Subscription Agreement, Order Form, Statement of Work, or other written agreement exists between the parties, that agreement shall control to the extent of any conflict.
